1. Introduction and Acceptance

Defensible Space Score is a digital service owned and operated by AACI Group, Inc. ("AACI Group, Inc.", "Company", "we", or "us"). The Service helps property owners evaluate wildfire risk and defensible space readiness for their properties through data-driven analysis of user-provided information. Specifically, Defensible Space Score analyzes user-uploaded photos of the property and its surroundings, along with user-supplied address data, to generate a defensible space readiness score or report.

These Terms of Service ("Terms") govern your access to and use of the Defensible Space Score website (defensiblespacescore.com) and any related services, applications, or platforms (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and enter into a legally binding agreement with AACI Group, Inc. Do not use the Service if you do not agree to these Terms. For clarity, any reference to "Defensible Space Score" in these Terms means the Service provided by AACI Group, Inc., and all obligations or responsibilities of "Defensible Space Score" are obligations of AACI Group, Inc.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Defensible Space Score, you represent and warrant that you meet this age requirement and have the legal capacity to agree to these Terms. If you are using the Service on behalf of a company or other legal entity, you further represent that you have the authority to bind that entity to these Terms, in which case "you" shall also refer to that entity.

3. Account Registration and Security

Some features of Defensible Space Score may require you to create an account. When you register, you agree to provide accurate, current, and complete information about yourself or your organization. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. Notify us immediately at legal@defensiblespacescore.com if you suspect any unauthorized use of your account. AACI Group, Inc. is not liable for any loss or damage arising from your failure to keep your account credentials secure.

4. Acceptable Use and Conduct

By using the Service, you agree to use it only for lawful purposes and in compliance with these Terms. You are responsible for your use of Defensible Space Score and for any content you submit or actions you take on the platform. You agree not to engage in any of the following prohibited activities:

Illegal Activities: You will not use the Service for any unlawful purpose or to promote illegal activities.
Violation of Others' Rights: You will not infringe or misappropriate any intellectual property or other proprietary rights of others while using the Service.
Disruptive Behavior: You will not upload viruses, worms, or any malicious code, or do anything that could damage, disable, overburden, or impair the functioning of the Service.
Unauthorized Access: You will not attempt to gain unauthorized access to any accounts, computer systems, or networks associated with Defensible Space Score or AACI Group, Inc.
Misrepresentation: You will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity in connection with your use of the Service.

AACI Group, Inc. reserves the right to investigate and take appropriate legal action against anyone who, in the Company's sole discretion, violates the above rules, including suspending or terminating the user's account and reporting such violations to law enforcement authorities if necessary.

5. User Content and Intellectual Property

User Content:

If the Service allows you to post, upload, or submit any content (such as text, images, insurance policy documents, designs, or other materials), you retain any rights you hold in that content. However, by submitting or posting content on Defensible Space Score, you grant AACI Group, Inc. a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and improving the Service. You represent that you have all necessary rights to the content you submit and that your content will not violate the rights of any third party. The Company is not responsible for any user content and has no obligation to monitor the content uploaded by users, but it reserves the right to remove or disable any content that violates these Terms or any applicable law.

Defensible Space Score Intellectual Property:

All content and materials provided on or through the Service (excluding user-provided content), including but not limited to software, databases, text, graphics, logos, trademarks, service marks, designs, and the overall look and feel of the Service, are owned by or licensed to AACI Group, Inc. and are protected by intellectual property laws. AACI Group, Inc. retains all rights, title, and interest in and to its intellectual property. You are granted a limited, revocable, non-transferable, non-exclusive license to access and use the Service and its content for your personal or internal business use, as applicable, in accordance with these Terms. You must not copy, modify, distribute, sell, or lease any part of our Service or included content, nor may you reverse engineer or attempt to extract the source code of any software, unless laws prohibit those restrictions or you have our written permission.

6. Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and disclose information when you use Defensible Space Score. You may optionally provide personal information (for example, your email address or insurance policy documents) when using the Service; all such information is handled in accordance with our Privacy Policy. By using the Service, you acknowledge that AACI Group, Inc. will collect and use personal data as described in the Privacy Policy. If you are a business or organization that requires a Data Processing Agreement (for compliance with laws such as the GDPR), AACI Group, Inc. offers a Data Processing Agreement that can be reviewed and incorporated into your usage of the Service.

7. Termination of Use

AACI Group, Inc. may suspend or terminate your access to the Service at any time, with or without notice, for any valid reason, including if we believe you have violated these Terms or any applicable law or if your account has been inactive for an extended period. Upon termination, your right to use the Service will immediately cease. You may also discontinue use of Defensible Space Score at any time by deleting your account or ceasing to access the platform. Note that after termination or discontinuation, we may retain certain information as required by law or as outlined in our Privacy Policy, but will do so in accordance with applicable data retention and deletion policies.

8. Disclaimers of Warranties

The Defensible Space Score service is provided by AACI Group, Inc. on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, AACI Group, Inc. disclaims all warranties, express or implied, in connection with the Service and your use thereof. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. AACI Group, Inc. does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You assume all risk for any damage to your computer system or loss of data that results from obtaining any content from the Service, including any damages resulting from computer viruses.

9. Limitation of Liability

To the fullest extent permitted by applicable law, under no circumstances will AACI Group, Inc. (including its directors, officers, employees, and agents) be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, Defensible Space Score or any content on the Service. This limitation applies to any damages for errors, mistakes, or inaccuracies of content, personal injury or property damage of any nature, unauthorized access to or use of our servers and/or any personal information stored therein, interruption of service, bugs, viruses, trojan horses, or the like (regardless of how they are transmitted), or for any loss or damage of any kind arising from the use of the Service.

Maximum Liability: To the extent that any liability is not legally excludable, you agree that the total liability of AACI Group, Inc. and its affiliates, arising out of any kind of claim in connection with the Service, will not exceed the greater of one hundred U.S. dollars (USD $100) or the total amount (if any) you have paid to AACI Group, Inc. for use of the Service in the six (6) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the liability of AACI Group, Inc. will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless AACI Group, Inc., its affiliates, and their respective directors, officers, employees, and agents (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise from or relate to any of the following:

(a) Your use or misuse of the Defensible Space Score Service;
(b) Your violation of these Terms;
(c) Your violation of any laws, regulations, or third-party rights;
(d) Any content you submit or make available through the Service.

AACI Group, Inc. reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with our defense of such a claim, and you will not settle any such claim without our prior written consent.

11. Governing Law and Jurisdiction

These Terms and any dispute arising from your use of the Service are governed by the laws of the United States and the laws of the State of California, without regard to its conflict of law principles. You agree that any disputes or claims arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction and venue in such courts. Notwithstanding this, AACI Group, Inc. may seek injunctive or other equitable relief in any appropriate jurisdiction to protect its intellectual property or enforce these Terms.

12. Changes to Terms

AACI Group, Inc. reserves the right to modify or update these Terms at any time. If we make material changes, we will provide notice to users by posting the updated Terms on the Defensible Space Score website and updating the "Last Updated" date at the top of the Terms, or by other means such as email notification if appropriate. Continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for any updates.

13. Miscellaneous

Entire Agreement: These Terms (along with the Privacy Policy, Deletion Policy, and any other guidelines or agreements referenced herein) constitute the entire agreement between you and AACI Group, Inc. regarding your use of Defensible Space Score, superseding any prior agreements between you and AACI Group, Inc. relating to the subject matter hereof.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

Waiver: The failure of AACI Group, Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or any of your rights or obligations under them without the prior written consent of AACI Group, Inc. We may assign these Terms without restriction as part of a merger, acquisition, corporate reorganization, or sale of our assets.

No Agency: No joint venture, partnership, employment, or agency relationship is created between you and AACI Group, Inc. as a result of these Terms or your use of the Service. You do not have any authority of any kind to bind the Company in any respect whatsoever.

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
